PLAIN ENGLISH Written by us to describe how the service works today, in good faith. It has not been reviewed by an outside lawyer. Questions: [email protected].
The short version: your music stays yours, we only use it to make your videos and pages, we never train AI on it, credits pay for rendering, and you can cancel any time. The full terms follow.
These Terms are an agreement between you and the operator of Cookup Factory (“Cookup”, “we”, “us”) for the website cookupfactory.com and everything on it (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. Cookup Factory is operated by Marcus Mayhem Media LLC, 2550 Noble Ave, Hamilton, OH 45015.
You must be at least 16 years old (or the age of digital consent where you live, if higher) to have an account. If you use the Service for a label, management company or other business, you confirm you can bind it to these Terms, and “you” includes it.
02 What the Service does
Cookup Factory turns songs, photos and footage you provide into short videos (lyric videos, lip-sync edits, visualizers and similar), and gives you fan pages: a link-in-bio page, release pages and pre-save campaigns. Some features use artificial intelligence (see AI features).
We are improving the Service constantly. Features may change, and we may add or remove them. If we remove something you pay for, we will tell you in advance where we reasonably can.
03 Your account
Keep your sign-in details secure. You are responsible for what happens under your account.
Give us a working email address. It is how we reach you about your account and billing.
One person per account. Sharing a login is not allowed (the Label plan is for teams working on several artists).
Tell us straight away at [email protected] if you think someone else has accessed your account.
04 Your music and uploads
You keep your rights
You own what you upload: songs, recordings, lyrics, artwork, photos and footage (“Your Content”) and the videos the Service makes from it. We claim no ownership of any of it.
The licence you give us
You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transcribe, analyse, edit and render Your Content, and to display it on the pages you publish, only to run the Service for you. This licence ends when you delete the content or your account, except for copies in routine backups that expire on their own schedule (see Deleting your account), and except where you have published something to fans and it has already been shared.
We do not sell Your Content, and we do not use your songs, vocals, lyrics or footage to train AI models, ours or anyone else’s.
You must have the rights
When you upload or import anything, you promise that:
you own it or have every licence and permission needed (from co-writers, producers, labels, publishers, distributors, featured artists, photographers and anyone who appears in footage) to use it the way you use it on the Service, including posting the resulting videos on social platforms and in ads;
it does not infringe anyone’s copyright, trademark, privacy or publicity rights; and
it is not unlawful, and doesn’t break the acceptable use rules.
Importing from a link (for example a video URL) is a convenience for material you have the rights to. It is not permission to use someone else’s recording. Imports cost 10 credits each.
Copyright complaints (DMCA)
We respond to notices of claimed copyright infringement under the US Digital Millennium Copyright Act (17 U.S.C. §512). Our designated agent for notices is:
Copyright Agent, Marcus Mayhem Media LLC 2550 Noble Ave, Hamilton, OH 45015, USA Email: [email protected]
To be effective, your notice must be in writing and include:
your physical or electronic signature (or that of the person authorised to act for the copyright owner);
the copyrighted work you say is infringed (or, for several works, a representative list);
the material you say is infringing and enough information for us to find it on the Service (for example the page link, video, or Scenepacks clip);
your name, address, phone number and email address;
a statement that you have a good-faith belief the use is not authorised by the copyright owner, its agent or the law; and
a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or authorised to act for them.
When we receive a valid notice we remove or disable access to the material promptly, and tell the user who posted it where we can. This applies to everything on the Service, including our own stock library.
Counter-notice. If your material was removed and you believe that was a mistake or misidentification, you can send a counter-notice to the same agent with: your physical or electronic signature; the material that was removed and where it appeared before; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; and your name, address and phone number, with a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any judicial district in which we can be found) and will accept service of process from the person who sent the original notice. We forward it to them, and restore the material in 10 to 14 business days unless they tell us they have filed a court action.
Repeat infringers. We close the accounts of users who are the subject of repeated valid notices, in appropriate circumstances.
Knowingly false notices or counter-notices can make the sender liable for damages under §512(f).
05 Our library: looks, effects, fonts and stock
The Service includes visual styles (“Looks”), transitions, overlays, fonts, stock footage and other material that we created or licence from third parties (the “Library”). When the Library appears in a video you render, you may use that video anywhere, including commercially and in paid ads. You may not extract Library material from videos or the Service and use it on its own, resell it, or offer it in a competing product.
Some material is licensed to us on terms that we must pass on; where a Look says so in the app, those terms apply too.
06 AI features
Some features use AI models run by our providers: automatic lyric timing (speech recognition), the editing assistant (“Ask”), page design suggestions, video idea suggestions, cover art generation and background or subject cut-outs. To run them we send the relevant input (for example an audio file, your prompt, or an image) to the provider listed in our Privacy Policy. Providers process it to return a result to us and are not permitted to use it to train their models.
AI output can be wrong. Check lyric timing, captions and any text before you post.
You are responsible for how you use output. Generated images may resemble existing works; don’t use them in a way that infringes someone’s rights.
Don’t use AI features to imitate a real person’s voice or likeness without their permission.
07 Credits
Rendering costs credits. One credit is one second of finished Full HD video; previews cost less and some actions (uploads, lyric timing, re-edits, fan pages) are free. Current costs are on the pricing page, which forms part of these Terms.
New accounts receive 120 free credits, once.
Plan credits refill each month to your plan’s amount and do not roll over. On a yearly plan they still refill monthly.
Top-up credits (300 for $19, 1,000 for $55) don’t expire while your account is open, and are used after your monthly credits.
If a render fails before it reaches our render queue, its credits are returned automatically.
Credits have no cash value, can’t be transferred or sold, and are not refunded when an account is closed, except where the law requires.
08 Plans, billing and cancelling
Paid plans are subscriptions billed in advance, monthly or yearly, through our payment processor Stripe. Your plan renews automatically at the end of each period at the then-current price until you cancel. We’ll give you at least 30 days’ notice of a price change, and it applies from your next renewal.
Cancel any time from “Manage billing”. Your plan stays active until the end of the period you’ve paid for, then returns to Free.
Upgrades take effect straight away; the price difference for the rest of the period is charged then.
If a payment fails, we and Stripe will retry. If it keeps failing, the plan returns to Free.
Prices are in US dollars. Taxes are added where required.
09 Refunds
Because credits are spent on real rendering costs the moment you use them, payments are generally non-refundable. But we want this to be fair:
First payment: if you contact us within 14 days of your first paid plan payment and have used fewer than 10% of that period’s plan credits, we’ll refund it in full.
Unused top-ups: a top-up pack you haven’t spent any of can be refunded within 14 days of purchase.
Our mistake: if a render is broken because of a fault on our side, tell us and we’ll return the credits or re-render it.
If you live in the EU, UK or another place that gives you a statutory right to cancel, you agree that the Service starts immediately and that you lose that right for credits you have already used. Nothing here limits other rights you have under consumer law.
Email [email protected] for any refund. Refunds go back to the original payment method.
10 Fan pages and fan data
Your link-in-bio, release and pre-save pages collect information from your fans when they choose to give it: for example a Spotify pre-save (which gives us permission to save your release to their library) or an email address for “notify me”. For that fan information, you are the controller and we are your processor: we collect and store it on your behalf and use it only to provide those features to you, as set out in our Privacy Policy, which is our data processing terms for fan data.
Only contact fans in the way they agreed to when they signed up, and honour unsubscribes.
If you add your own Meta Pixel or other tracking to your pages, you are responsible for having a lawful basis for it; we load it only after the visitor consents.
Don’t export fan data to sell or share it with others.
11 Acceptable use
Don’t use the Service to:
upload, make or share anything infringing, unlawful, hateful, harassing, sexually exploitative of minors, or that incites violence;
make deceptive content about a real person, or impersonate someone;
send spam or contact fans who didn’t opt in;
probe, scrape, overload or break the Service, get around credit or plan limits, or access another account’s data;
resell the Service or build a competing product from it.
We may remove content or suspend accounts that break these rules, and will tell you why unless the law or safety prevents it.
12 Deleting your account
You can stop using the Service at any time and delete your account yourself from Settings → Account → Delete my account (or Settings → Delete account in the phone app), or ask us at [email protected]. We delete your uploads, videos, pages and fan data within 30 days; copies in encrypted backups expire within a further 35 days. We keep billing records as long as tax law requires.
Finished videos are kept for a period that depends on your plan (shown on the pricing page) and are then removed automatically. Download anything you want to keep.
We may suspend or close an account that seriously or repeatedly breaks these Terms, or that hasn’t paid. If we close the Service entirely we’ll give at least 30 days’ notice and refund unused prepaid periods.
13 No warranty; limits of liability
We work hard to keep the Service running, but it is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we don’t promise that the Service will be uninterrupted or error-free, or that videos will perform on any platform.
To the extent the law allows, we are not liable for indirect, incidental or consequential losses, or lost profits, revenue or data, and our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim or US$100. Nothing in these Terms limits liability that can’t be limited by law.
You agree to cover our reasonable costs from claims by third parties that Your Content infringed their rights or that you broke these Terms.
14 Changes, law and contact
We may update these Terms. For material changes we’ll tell you by email or in the app at least 14 days before they apply; continuing to use the Service after that means you accept them.
These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-law rules. Disputes go to the state or federal courts for Butler County, Ohio, unless the law where you live gives you the right to use your local courts.
